DIFC Qualified Investor Funds

A Domestic Fund is a Qualified Investor Fund if: 

(a)  its Units are offered to persons only by way of a Private Placement; 

(b)  all its Unitholders are persons who meet the criteria to be classified as Professional Clients; and 

(c)  the initial subscription to be paid by a person to become a Unitholder is at least US$500,000. 

DIFC Exempt Funds

 A Domestic Fund is an Exempt Fund if: 

(a)  its Units are offered to persons only by way of a Private Placement; 

(b)  all its Unitholders are persons who meet the criteria to be classified as Professional Clients; and 

(c)  the initial subscription to be paid by a person to become a Unitholder is at least US$50,000; 

and it does not satisfy the conditions in Article 16(5) to be a Qualified Investor Fund.

Sachin is a Barrister at Law and Legal Consultant, with over 20 years of experience in Common Law and Mauritian law. He has advised clients both domestically and internationally, on Commercial Law and taxation, with a focus on structuring of investment funds. Sachin holds a Bachelor of Law degree from the University of Buckingham, and is a member of the Bar of England and Wales and the Mauritius Bar Association. 

Santanu Ghosh

Santanu brings to the table over twenty years of experience in international corporate documentation & litigation both as an in-house Counsel and as a practicing lawyer in Banking & Finance, Commercial contracts, Manufacturing & Infrastructure, Civil/Commercial disputes, Criminal law and Corporate Legal documentation for Incorporation of companies/new startups in UAE & India. Partner

A corporate and M&A lawyer, has over 20 years of experience in Finance and Banking, Alternative Dispute Resolution, Restructuring, Intellectual Property Law.

He graduated with a bachelor’s degree in Private Law from Saint Joseph University - Beirut, Lebanon. (LLB in Lebanese and French Law) and later acquired his DEA Business Law from Paris I Panthéon Sorbonne - Paris, France.

Mazen further obtained his LL.M. Master of Laws from Harvard Law School, Cambridge, MA, USA.

He advised on Saudi M&A transactions involving clients such as Al Marai, Amwal al Khaleej, Rubaiyat, MCN (middle east communication network), Unimac in the Kingdom of Saudi Arabia.

He represented Rymco (a leading automotive company in the region),in setting up its Infiniti dealerships in the UK and its securitization transactions, including the first inventory securitization in the region. He is the legal advisor for Intercontinental and Four-season hotels in Lebanon.

Mazen was admitted to the Lebanese bar association in 2000 and is fully admitted to practice in his jurisdiction.

A corporate & commercial lawyer who has been in the Kingdom of Saudi Arabia since 2011, working alongside International & legal 500 law firms.

Anas has a broad range of corporate experience including mergers and acquisitions, joint ventures, takeovers, and equity investments. He graduated with a bachelor’s degree in law (LLB) and further completed his Postgraduate Diploma in Laws at the University College of London (UCL). He further acquired an LL.M. Master of Laws in Commercial & Corporate Law from University College of London. Anas isactive on advising Saudi & foreign clients on a wide range of corporate and M&A transactions in Saudi and the MENA region. He represented multinational Companies in multiple M&A transactions conducted across the MENA region with focus on the Saudi and UAEmarkets.

He advised multinational companies and local Saudi giants such as Siemens GMBH, Facebook, L’Oréal, Lamborghini, Samako Saudi, Al Naghi, Al Majdouei, Mitsubishi Electric and ENBDC (UAE Bank) on multiple M&A transactions in Saudi and on structuring their businesses in KSA.
